1. Acceptance of Terms

By accessing the website www.zeasdesign.ca or engaging Zeas Design (“the Agency,” “we,” “us”) for services, you (“the Client,” “you”) agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our website or services.

2. Services

Zeas Design provides digital creative services, including but not limited to:

  • Web Design & Development

  • Branding & Visual Identity

  • 3D Visualization & Rendering

  • Digital Strategy

The specific scope of work, deliverables, timeline, and fees for any project will be outlined in a separate proposal or contract (“Service Agreement”) signed by both parties. In the event of a conflict between these Terms and a specific Service Agreement, the Service Agreement shall prevail.

3. Intellectual Property Rights

  • Client Content: You retain ownership of all text, images, and data you provide to us for use in the project. You guarantee that you have the right to use such content and indemnify Zeas Design against any copyright claims regarding materials you provide.

  • Agency Work: Upon full payment of all fees, Zeas Design grants the Client a perpetual, non-exclusive license to use the final designs and code for their intended purpose.

  • Portfolio Rights: Unless a Non-Disclosure Agreement (NDA) is signed, Zeas Design reserves the right to display the completed project, or parts thereof, in our portfolio, website, and marketing materials to demonstrate our expertise.

4. Payments and Deposits

  • Deposits: A non-refundable deposit (typically 50%) is required before work begins on any project.

  • Final Payment: The remaining balance is due upon project completion and before the final files are released or the website is launched on the Client’s live server.

  • Late Fees: Invoices not paid within [30] days may be subject to a late fee of [1.5]% per month.

5. Client Responsibilities

To ensure the project moves forward smoothly, the Client agrees to:

  • Provide all necessary content (text, images, credentials) in a timely manner.

  • Provide feedback and approvals within [X, ej: 5 business days] of receiving drafts.

  • Understand that delays in providing content will result in delays to the project timeline.

6. Third-Party Tools & Liability

We may use third-party tools, plugins, or hosting services (e.g., WordPress, WooCommerce, Hosting Providers) to build your project.

  • Disclaimer: Zeas Design is not responsible for any downtime, security breaches, or functionality issues caused by third-party software updates or service failures.

  • Maintenance: Unless you are subscribed to a Maintenance Plan with us, the Client is responsible for keeping their website software and plugins updated after launch.

7. Limitation of Liability

To the fullest extent permitted by law in Ontario, Zeas Design shall not be liable for any indirect, incidental, or consequential damages (including lost profits or business interruption) arising out of the use of our website or services. Our total liability shall not exceed the amount paid by the Client to Zeas Design for the specific service in dispute.

8. Termination

Either party may terminate a project with written notice.

  • If the Client terminates the project, the Client acts responsible for all work completed up to the date of termination. The initial deposit is non-refundable.

  • If Zeas Design terminates the project (for reasons other than breach of contract by Client), we will refund the unearned portion of any fees paid.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Ontario.
